1. Acceptance of Terms

By accessing or using AllgoAI ("we," "us," or "our") services at allgoai.org (the "Services"), you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

AllgoAI provides AI-powered automation and content generation services including, but not limited to:

• AI content generation (text, copy, documents)
• Workflow automation and business process automation
• Market intelligence and research services
• Custom AI agent development and deployment
• Data processing and analytics

Services are delivered electronically. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. User Accounts

• You must provide accurate, complete, and current account information.
• You are responsible for maintaining the security of your account credentials.
• You must promptly notify us of any unauthorized use of your account.
• You may not share your account credentials with third parties.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payments and Refunds

4.1 Payment Terms

Payment is required before service delivery unless otherwise agreed in writing. We accept major credit cards and other payment methods as displayed at checkout. All payments are processed securely through Stripe, Inc.

4.2 Refund Policy

We offer a satisfaction guarantee on all services. If you are not satisfied with a delivered service, contact us within 7 days of delivery at evolve@allgoai.org and we will work to resolve the issue or provide a refund at our discretion. Refund requests after 30 days of payment will not be accepted except where required by applicable law.

4.3 Subscription Services

Subscription plans automatically renew each billing period. You may cancel at any time; cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused subscription periods.

5. Acceptable Use

You agree not to use our Services to:

• Generate content that is illegal, harmful, threatening, abusive, or harassing
• Infringe on intellectual property rights of any third party
• Distribute spam, malware, or malicious content
• Attempt to reverse-engineer, decompile, or extract our AI models
• Violate any applicable laws or regulations
• Impersonate any person or entity
• Interfere with or disrupt the integrity of our Services

6. AI-Generated Content — Disclaimer & Liability

Our Services utilize artificial intelligence to generate content. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or omissions.
• AI-generated content does not constitute legal, financial, medical, or professional advice.
• You are solely responsible for reviewing, verifying, and using AI-generated content appropriately.
• We make no warranties regarding the accuracy, completeness, or fitness for purpose of AI-generated content.
• You retain responsibility for ensuring AI-generated content complies with applicable laws before publication or use.

7. Intellectual Property

7.1 Your Input

You retain ownership of all content you submit to our Services ("Input").

7.2 Output

Subject to your compliance with these Terms and payment of applicable fees, AllgoAI assigns to you all rights in the AI-generated Output produced from your Input.

7.3 AllgoAI Property

Our platform, software, algorithms, models, and branding remain the exclusive property of AllgoAI. These Terms do not grant you any rights to our intellectual property.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALLGOAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. ALLGOAI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Indemnification

You agree to indemnify, defend, and hold harmless AllgoAI and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Governing Law

These Terms are governed by the laws of Japan, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved by the courts of Japan.

12. Dispute Resolution

Before initiating formal legal proceedings, you agree to attempt to resolve disputes informally by contacting us at evolve@allgoai.org. We will make good-faith efforts to resolve disputes within 30 days.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Continued use of the Services after changes constitutes acceptance of the updated Terms.

14. Termination

Either party may terminate these Terms at any time. Upon termination, your right to use the Services ceases. Sections 6–12 survive termination.
